1. Contractual Relationship & Agreement Structure
1.1 Acceptance of Terms
This Master Terms of Service and Directory Usage Agreement ("Agreement") constitutes a legally binding contract between Webfit Ltd ("Company", "we", "us", "our") and any person or entity accessing, registering with, or utilizing the platform, sub-domains, APIs, WhatsApp interaction channels, or directory services located at site2.uk (collectively, the "Platform").
1.2 Capacity
By accessing or using the Platform, you represent and warrant that you possess the legal capacity to enter into binding contracts under UK law. If you are registering an account on behalf of a trade business, partnership, or limited company, you warrant that you possess full legal authorization to bind that corporate entity to these terms.
1.3 Incorporated Policies
Use of the Platform is also governed by our Privacy Policy & AI Data Processing Notice and our Public Review, Due Diligence & AI Content Policy, which are expressly incorporated into this Agreement by reference.
2. Service Scope & Operational Architecture
2.1 Platform Description
site2.uk provides an automated, artificial intelligence-assisted marketing platform and digital trade directory designed for UK trade professionals and local businesses ("Subscribers"). The Platform incorporates "Raye," an automated marketing assistant interface operating across WhatsApp, email, and web dashboard channels.
2.2 Core Capabilities
The Platform enables Subscribers to upload job photos, project notes, and media ("User Media"), which are processed by automated software engines to generate marketing copy and project write-ups, update the Subscriber’s hosted listing page on the site2.uk directory, and publish authorized updates, captions, and images to the Subscriber’s connected third-party social media accounts, including Facebook and Instagram.
2.3 SEO and Brand Building Claims
Any references across site2.uk marketing literature concerning brand building, search engine optimization (SEO), or domain expertise (including references to historical operational experience) reflect the cumulative technical background of Webfit Ltd’s underlying development and advisory team. Webfit Ltd does not warrant or guarantee that use of the Platform will yield specific search engine rankings, lead volumes, impression counts, or gross revenue increases.
3. Subscription Plans, Free Trials & Billing Terms
3.1 Free Trial Period
Eligible new Subscribers receive a five (5) day full-access free trial upon account registration. No recurring subscription charges are processed during the trial period. Continued access beyond the trial period requires the selection and funding of a paid subscription plan.
3.2 Recurring Subscriptions
Subscription plans are billed in advance on a recurring monthly or annual basis ("Billing Cycle"). Subscriptions automatically renew at the conclusion of each Billing Cycle unless canceled by the Subscriber prior to the renewal date.
3.3 Cancellation Protocol
Subscribers may cancel their subscription at any time via the billing settings within their account dashboard. Cancellation stops future auto-renewal charges; access remains active through the end of the paid Billing Cycle. Webfit Ltd does not issue partial-month refunds or credits for unexpired subscription periods, subject to mandatory statutory consumer cooling-off rights where applicable under UK consumer law.
4. WhatsApp Intake & AI Content Generation Terms
4.1 Role of Raye
The automated assistant interface ("Raye") acts strictly as a data processor executing automated software routines based upon inputs provided directly by the Subscriber via WhatsApp, email, or direct web upload.
4.2 User Verification Mandatory Duty
Content generated by Raye or processed through third-party generative artificial intelligence APIs (including Google Gemini API) relies on automated algorithmic language models. Content may be AI-generated or AI-verified; Subscribers are strictly required to inspect, check, and verify all important information, technical claims, pricing, and project details prior to authorizing public deployment or social media publication. The Subscriber maintains full editorial responsibility for all published copy. Webfit Ltd expressly disclaims liability for inaccuracies, factual errors, misstatements, or regulatory non-compliance present in AI-generated text published by or on behalf of the Subscriber.
4.3 Prohibited AI Prompts and Content
Subscribers must not upload, transmit via WhatsApp, or instruct Raye to generate content that contains false, misleading, or deceptive trade claims (such as unverified regulatory accreditations including Gas Safe or NICEIC), infringes third-party copyrights or trademarks, is defamatory or unlawful, or discloses private personal data of consumers without explicit prior consent.
5. Directory Listings & Consumer Due Diligence Disclaimer
5.1 Informational Nature of Listings
Trade directory profiles hosted on site2.uk are provided exclusively for general informational purposes. Webfit Ltd functions solely as a technical intermediary and publisher.
5.2 Absolute Disclaimer of Vetting & Endorsement
Webfit Ltd does not vet, verify, background-check, interview, accredit, license, or endorse any trader, business, or service provider listed on site2.uk. Listed trade credentials, trade memberships, insurance details, and job portfolios are self-reported by Subscribers or synthesized automatically from Subscriber uploads.
5.3 Consumer Due Diligence Requirement
If a consumer or platform visitor books a trade or business for professional services via site2.uk, Webfit Ltd strongly recommends and requires that the consumer conduct their own independent due diligence. This includes verifying physical trading address and identity, inspecting proof of active public liability insurance, confirming mandatory statutory certifications directly with issuing regulatory bodies (e.g., Gas Safe, NICEIC), and agreeing to clear written contract terms prior to issuing deposits or payments.
5.4 Exclusion of Transactional Liability
Webfit Ltd is not a party to any contract, work agreement, or transaction concluded between a consumer and a listed trader. Webfit Ltd accepts zero responsibility or liability for contractual breaches, defective craftsmanship, delays, property damage, financial loss, or personal injuries arising from or connected to engagements initiated through site2.uk.
6. Public Reviews & DMCC Act Compliance
6.1 Public Review Governance
Ratings and reviews featured on site2.uk are submitted independently by members of the public. Ratings and reviews provided on this site reflect exclusively the opinions of the public authors and do not represent the views, endorsements, or stance of Webfit Ltd.
6.2 Anti-Fake Review Protocols
Pursuant to Chapter 1 of Part 4 of the Digital Markets, Competition and Consumers Act 2024 (DMCC Act), Webfit Ltd enforces strict, reasonable, and proportionate procedures to prevent the publication of fake, misleading, or paid reviews. Subscribers and consumers are strictly prohibited from submitting or commissioning fake reviews, submitting incentivised reviews without immediate public disclosure, or suppressing negative reviews through coercion or financial inducements.
6.3 Audit & Moderation Powers
Webfit Ltd reserves the absolute right to audit, flag, hold, or delete any review, and to suspend or terminate the account of any Subscriber or reviewer who violates our anti-fake review procedures or applicable consumer protection laws.
7. Intellectual Property Rights & Media Licensing
7.1 Subscriber Media Ownership
Subscribers retain full legal ownership of all job photos, logos, and raw text submitted via WhatsApp, email, or direct dashboard upload ("Subscriber Content").
7.2 Worldwide License Grant
By submitting Subscriber Content to the Platform, you grant Webfit Ltd a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, cache, format, resize, process via generative AI systems, and publish such media across site2.uk listings, edge content delivery networks (Cloudflare R2), and connected third-party social networks solely for the purpose of fulfilling marketing platform operations.
7.3 Media Warranty & Indemnity
Subscribers warrant that they possess all necessary rights, copyright clearances, and property or privacy releases for all uploaded media. Subscribers agree to fully indemnify Webfit Ltd against any third-party intellectual property claims, copyright infringement demands, or privacy actions arising from published media.
8. Limitation of Liability & Exclusion of Warranties
8.1 As-Is Provision
The Platform, directory listings, and AI marketing functions ("Raye") are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.
8.2 Liability Cap
To the maximum extent permitted by UK law, Webfit Ltd’s total aggregate liability arising out of or related to your use of the Platform—whether in contract, tort (including negligence), statutory breach, or otherwise—shall be strictly limited to the total subscription fees paid by you to Webfit Ltd in the three (3) months preceding the event giving rise to the claim, or £100 GBP, whichever is greater.
8.3 Exclusion of Consequential Damages
Webfit Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business opportunity, loss of data, loss of reputation, or business interruption.
8.4 Statutory Rights
Nothing in this Agreement operates to exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any statutory liability that cannot be excluded under applicable UK legislation.
9. Account Suspension & Termination
Webfit Ltd reserves the right to suspend or terminate any Subscriber account or restrict access to directory listings immediately, without prior notice, in the event of a material breach of this Agreement, non-payment of subscription fees following reasonable notice, uploading fraudulent job photos, misleading AI copy, or fake reviews, or behavior deemed harmful to the operational stability or reputation of the Platform.
10. Governing Law & Jurisdiction
This Agreement, its subject matter, and its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising hereunder.
